Terms of Service

BrokerageOS is a business brokerage operations platform that provides tools for managing listings, deals, contacts, documents, commissions, and team collaboration. The service is provided via web application at brokerageos.ai and may also be accessed through whitelabel domains operated by licensed brokerage customers.

You must be at least 18 years of age to use BrokerageOS. By accepting these Terms you represent that you meet this requirement. Use of BrokerageOS is intended for business purposes — it is not a consumer product.

• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must notify us immediately at support@brokerageos.ai if you suspect unauthorized access to your account.
• You may not share your account or credentials with others, or use the platform on behalf of any third party without their authorization.
• We reserve the right to suspend or terminate accounts that violate these Terms or that are inactive for an extended period.

You agree not to use BrokerageOS to:

• Violate any applicable law, regulation, or third-party rights.
• Upload or transmit malicious code, viruses, or harmful content.
• Attempt to gain unauthorized access to any part of the platform, other accounts, or our infrastructure.
• Scrape, reverse-engineer, or reproduce any part of the platform without written permission.
• Use the platform to store, transmit, or facilitate illegal transactions or fraudulent activities.
• Harass, defame, or harm any person through the platform's communication or document features.

You retain ownership of all business data, listings, documents, and content you upload or create within BrokerageOS ("Your Data"). By using the platform, you grant us a limited, non-exclusive license to store, process, and display Your Data solely for the purpose of providing the service to you.

We do not claim ownership of Your Data and will not use it for any purpose beyond operating and improving the platform for your account. See our Privacy Policy for full details on data handling.

BrokerageOS is designed to handle confidential business information. You are responsible for configuring appropriate access controls for your team. We treat all business data stored in the platform as confidential and do not access or disclose it except as described in our Privacy Policy or as required by law.

BrokerageOS integrates with third-party services including Google (authentication), Box (document storage), Documenso (e-signatures), Resend (email), and others. Use of these integrations is subject to the terms of those third-party providers. We are not responsible for the availability, accuracy, or conduct of third-party services.

Access to BrokerageOS may require a paid subscription. Subscription terms, pricing, and billing cycles are described at the time of purchase or as separately agreed in a written order. All fees are non-refundable except where required by applicable law or as explicitly stated in your subscription agreement.

We reserve the right to change pricing with at least 30 days' written notice to existing subscribers.

BrokerageOS and its underlying software, design, and branding are owned by the Company or its licensors. Nothing in these Terms grants you any right to use our trademarks, logos, or brand names.

Feedback, suggestions, or ideas you provide regarding the platform may be used by us to improve the service without any obligation to you.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

BrokerageOS is a software tool. It does not provide legal, financial, tax, or brokerage advice. You are responsible for ensuring your use of the platform complies with all applicable licensing, regulatory, and professional requirements in your jurisdiction.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BROKERAGEOS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to defend, indemnify, and hold harmless BrokerageOS and its affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the platform, (b) Your Data, (c) your violation of these Terms, or (d) your violation of any third-party rights.

Either party may terminate access to the platform at any time. Upon termination, your right to access the platform ceases immediately. We will retain your data for up to 30 days after termination to allow for export, after which it will be deleted in accordance with our Privacy Policy.

We reserve the right to suspend or terminate your account immediately, without notice, if we determine in good faith that you have materially breached these Terms.

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction in Texas.

We may update these Terms from time to time. We will notify active users of material changes by email or a prominent notice within the platform. Continued use of the platform after the effective date of revised Terms constitutes your acceptance of those changes.
